The deal brings together "complementary electrical and optical technologies" needed for connectivity in artificial intelligence infrastructure, Marvell said in a news release.
Networking and artificial intelligence chipmaker Marvell Technology has reached an agreement to acquire Lumentum, a key manufacturer of optical components, in a substantial $115 billion all-stock transaction. This valuation includes Lumentum's existing debt. The terms of the deal indicate a purchase price of approximately $1,132 per share of Lumentum common stock. This figure represents a notable premium of about 23.9% over Lumentum’s unaffected closing share price recorded on October 28. Following the completion of the acquisition, current Marvell stockholders are projected to own approximately 67% of the newly combined company on a fully diluted basis, while Lumentum stockholders will hold the remaining 33%. Marvell anticipates that this strategic acquisition will significantly expand the combined company’s total addressable market, projecting it to reach an impressive $550 billion, highlighting the considerable growth opportunities expected from this merger.
The robust data center construction boom is currently fueling unprecedented demand and record-breaking revenue for numerous technology companies, including both Marvell and Lumentum. Marvell emphasizes that the artificial intelligence (AI) infrastructure sector is undergoing a fundamental transformation, reaching a critical "inflection point." This shift is primarily characterized by rapidly escalating bandwidth requirements for AI operations, which are increasingly encountering the physical limitations of traditional copper-based wire connections. This bottleneck is compelling a widespread adoption of more advanced, higher-bandwidth optical technologies as essential solutions to meet AI's burgeoning connectivity demands. Marvell's acquisition of Lumentum is strategically designed to integrate Marvell's existing strengths in electrical and optical interconnect, network switching, custom XPU (processor) development, and advanced semiconductor technologies. These capabilities will be combined with Lumentum's specialized expertise in high-performance lasers, sophisticated optical transceivers, innovative optical circuit switching, and specialized compound semiconductor manufacturing processes. This synergy aims to create a powerhouse in AI connectivity. Marvell Chairman and CEO Matt Murphy underscored the significance of this merger, stating that "AI infrastructure is undergoing a fundamental architectural shift toward optical connectivity, creating an opportunity that comes along once in a generation." He further articulated the company's intention to leverage the combined leadership, complementary technologies, exceptional talent, and specialized manufacturing capabilities to "help shape the next era of AI connectivity and create exceptional stockholder value." Murphy is slated to assume the role of chairman and CEO of the integrated entity. The agreement, which has received unanimous approval from the boards of directors of both companies, specifies that Lumentum stockholders will receive a fixed exchange ratio of 4.5 shares of Marvell common stock for each share of Lumentum common stock they hold at the time of closing. Market analysis from TrendForce suggests that this acquisition will substantially enhance Marvell’s optical technology portfolio, enabling the company to develop and offer "more comprehensive next-generation optical interconnect technology solutions." This strategic move is expected to position the combined company to compete more effectively against industry giants like Broadcom, which currently dominates the optical interconnect market. TrendForce also projected that the merged company would command nearly 7% of the semiconductor wired communications market, placing it firmly behind only Broadcom and Nvidia. This acquisition is part of a broader strategy by Marvell, as evidenced by its prior acquisition of Celestial AI in February, another company specializing in optical interconnect technologies crucial for advanced AI equipment. Additionally, Nvidia’s announcement the following month to invest $2 billion in a multiyear strategic partnership with Lumentum for developing advanced optics further highlights the industry’s focus on this technology. Marvell views the integration of Celestial AI as a move to expand its optical connectivity capabilities, leading to "more tightly integrated, high-bandwidth, and power-efficient solutions for data center customers," thereby establishing itself as a technological leader in the burgeoning scale-up interconnect market and opening a significant new total addressable market. Concurrently, Marvell also entered a multiyear agreement with GlobalFoundries in September to boost capacity for silicon germanium technology, further supporting the growing demand for next-generation optical connectivity in AI data centers. These strategic moves align with Marvell's recent financial performance, as it reported a record revenue of $2.7 billion in the second fiscal quarter of 2027, marking a 37% year-over-year increase and exceeding its guidance midpoint by $39 million. This strong revenue growth was primarily fueled by significant demand within Marvell's data center portfolio, which experienced a 46% year-over-year revenue increase, as stated by CEO Murphy.
